Filing a Biennial Statement is required for corporations and LLCs in the state of New York to maintain good standing.
All domestic and foreign business corporations and LLCs registered with the NYDOS must file a Biennial Statement. Additionally, LLPs and limited partnerships (LPs) that have previously filed with the Department may also be subject to biennial filing requirements if they meet NYDOS criteria. Nonprofits, cooperatives, and religious corporations are exempt from filing a Biennial Statement.
The Biennial Statement is due during the calendar month in which the entity’s original Certificate of Incorporation (for corporations) or Articles of Organization (for LLCs) was filed with the NYDOS. For example, if your LLC was formed on July 15, 2021, its Biennial Statement is due every two years during the month of July.
The entity will no longer be in good standing, jeopardizing its ability to obtain financing, enter into and enforce contracts, or renew business licenses.
